Luxembourg, 16 November 2022 – Metalcorp Group S.A. announces that a total of 42.8% of the outstanding 2017/2022 notes have registered in due time and form for the 2nd noteholders’ meeting on 18 November 2022 at 12:00 in Frankfurt am Main. The required quorum of at least 25% for the quorum of the 2nd noteholders’ meeting has thus been secured.
SdK Schutzgemeinschaft der Kapitalanleger e.V. (“SdK”) has submitted a counter-motion on 15 November 2022, the content of which has been coordinated with Metalcorp Group. Carlos Leite, CEO of Metalcorp Group: “We recommend that the holders of the 2017/2022 notes vote in favor of all new resolutions proposed by SdK. As we announced, we have worked in dialogue with key investor groups to find a way that secures the perspective for all sides to continue the success story of the company and fully serves investor interests. We are sure that we have achieved a very important step with the new resolution proposals. Therefore, in view of the status of the instructions to the proxy available to us to date and the indications from representatives of larger investor groups who have registered for the 2nd noteholders’ meeting, we expect broad approval on 18 November 2022 of the SdK proposals that have been coordinated with us.”
