Noteholder voting 2017/2022 Notes

Metalcorp Group S.A. invites all holders of the Bonds 2017/2022 (ISIN: DE000A19MDV0) to cast their votes in a voting without a meeting pursuant to § 18 SchVG in the period from 22 October 2022 at 0:00 am until 25 October 2022 at 24:00 am. The proposed resolutions include an extension of the maturity by one year (i.e. until 2 October 2023), an increase of the coupon to 8.5% p.a. and the appointment of a joint representative of all bondholders.

The issuer anticipates that the extension will provide sufficient time to pay the redemption amount and interest due.

The issuer will reward the additional effort and delay on the part of the bondholders by increasing the coupon by 1.5% p.a. to 8.5% p.a.

The proposed appointment of a joint representative is intended to give the bondholders a single voice and to pool the interests of all bondholders.
