Luxembourg, 26 October 2022 – Metalcorp Group S.A. announces that despite an exceptionally high participation rate for a first voting of 28.6%, the voting without meeting regarding the 2017/2022 notes (ISIN: DE000A19MDV0) did not reach the required quorum of 50% of the outstanding bond volume as expected and therefore did not constitute a quorum.

Luxembourg, 22 October 2022 – Metalcorp Group S.A. has yesterday received a counter-motion from SdK Schutzgemeinschaft der Kapitalanleger e.V. (“SdK”) regarding its proposed resolutions for the voting without meeting of the noteholders of its 2017/2022 notes from 22 to 25 October 2022. SdK proposes, among other things, an increased coupon and, on the one hand, more flexibility in the modalities for early redemption (redemption also in installments and at the nominal amount) and, on the other hand, event-driven and fixed partial redemptions.

Luxembourg, 18 October 2022 – Metalcorp Group S.A. reminds of the upcoming vote without a meeting. All noteholders of the 2017/2022 notes (ISIN: DE000A19MDV0) are asked to submit their votes in writing during the period from 22 October 2022 at 0:00 until 25 October 2022 at 24:00.
